United States of America: Principal Legal Compliance Officer


Overview


The Senior Legal Compliance Officer will support the integrity and efficiency of the organization’s operations, and compliance with U.S., local, and international laws. He/she will liaise (as needed) with various MSH Offices, Technical Programs, Projects, and third parties worldwide. He/she will support the development, implementation, enhancement, and revision of a Corporate Compliance Program, implement internal standard operating procedures, and oversee training of HQ and field staff within the framework of enterprise risk management.


Specific Responsibilities


Policy (20%)


  • Partner with General Counsel by developing , revising, and recommending revise policies related to all compliance areas.

Regulatory Compliance (20%)


Assist the General Counsel on advising MSH employees in Regulatory Compliance


  • Maintain a current working knowledge of Federal and State regulations and policies.

  • Research new donor regulations/policies, changes in donor regulations/donor policies and the regulatory environment, employment labor, benefits, and tax laws.

  • Ensure copyright and trademark filings (U.S. and Global) are up-to-date.

  • Track MSH registration in all countries and states where MSH personnel are working:


    • Assist the General Counsel and others in ensuring compliance with state registration laws and other requirements;

    • Populate and maintain a comprehensive, up-to-date database of the registration status of all states where MSH personnel are working (except for states where MSH HQ or branch offices are based);

    • Complete and oversee compliance of registration requirements and ensure required reports are accurate, submitted on time, and any yearly or other fees are paid on time;

    • Assess and document options and costs for closing or maintaining MSH registration at the end of the MSH personnel employment or the end of project activities. Close registration following decision that is consistent with MSH’s strategic decision.


Monitor and Report on Organizational Compliance (20%)


  • Play a lead role in designing and administering MSH’s CorporateCompliance Program with the General Counsel. The program will include a plan for training to prevent illegal, unethical or improper behaviour and clear reports to management on the status of compliance.

Organizational Standards (20%)


In partnership with the General Counsel in setting and maintaining:


  • The organizational standards for the development of terms and conditions in all Contracts/Agreements/Grants developed by Contract/Procurement Officers

  • Agreement-related templates; compliance checklists; agreement readings – examining the contractual and compliance elements of the schedule of the agreement, the clauses/provisions and the special requirements; donor approval of MSH’s interpretation of terms and conditions (Templates to be developed by the Senior Contract Officer, Standards Unit)

  • Organizational compliance requirements against the gift policy and other fundraising-related regulations.

Protest, Disputes, Resolutions, Terminations (10%)


  • Assist the General Counsel in lodging protests, disputes, and terminations of MSH contracts/agreements.

Real Estate Holdings/Lease Matters (10%)


  • Develop and maintain a list of all MSH offices’ leases, start and end date of the lease, and monitor MSH’s compliance with legal requirements.

Qualifications


  • Postgraduate degree in a field closely related to the assigned responsibilities.

  • 8 years’ of experience.

Preferred


  • Advanced law degree a plus.

  • 10+ years of progressively responsible experience in US government contracting, compliance or related legal environment or related legal experience; previous non-profit experience highly preferred.

Knowledge and Skills


  • Demonstrated expertise with legal research, including LEXIS-NEXIS, and excellent writing skills.

  • Extensive and demonstrated knowledge of federal, state and local laws both specific to non-profit operations as well as general corporate and employment.

  • Expertise in interpreting Federal regulations related to government contracting and assistance awards.

  • Comprehensive computer skills and working knowledge of Microsoft Office Suite applications including Word and Internet Explorer required. Knowledge of Microsoft Excel and Google apps helpful.

  • Solid organizational skills; ability to organize and support multiple projects and a multi-faceted workload, and meet strict deadlines in a fast-paced, detail-oriented environment.

  • Knowledge of filing systems helpful.

Physical Demands


  • 5% travel requirements.

  • Keyboard use, Pulling drawers, Lifting papers <10lbs.
